1.1 Our Commitment to Export Compliance

PANOAR is firmly committed to full compliance with all applicable export control laws and regulations of the People’s Republic of China, including but not limited to:

• The Export Control Law of the People’s Republic of China
• The Regulations on Export Control of Military Products
• The Regulations on Administration of Arms Export
• All relevant decrees, guidelines, and administrative measures issued by the Ministry of Commerce (MOFCOM), General Administration of Customs (GACC), and other competent authorities

We maintain robust internal compliance procedures to ensure that all export transactions are lawfully conducted, properly documented, and subject to appropriate due diligence.

1.2 Buyer’s Compliance Obligations

The Buyer hereby represents, warrants, and covenants that:

• The Buyer shall comply with all import regulations, licensing requirements, and customs procedures applicable in the destination country
• The Buyer shall not resell, transfer, re-export, or divert any products to sanctioned countries, territories, entities, or individuals as designated by:
  • The United Nations Security Council
  • The U.S. Office of Foreign Assets Control (OFAC)
  • The European Union
  • Any other relevant sanctioning authority
• The Buyer shall not engage in any transaction that would cause PANOAR to violate Chinese export control laws or international sanctions regimes
• The Buyer shall provide accurate end-user information and, where required, obtain and furnish valid end-user certificates, import licenses, or other regulatory approvals

1.3 Restricted Destinations

PANOAR reserves the right to decline orders destined for countries, regions, or entities subject to comprehensive trade embargoes or where the shipment of tactical equipment would contravene applicable export control regulations. PANOAR may request additional documentation or assurances before proceeding with transactions to sensitive destinations.

2.1 Intended Lawful Applications

PANOAR designs and manufactures tactical equipment intended exclusively for legitimate, lawful, and ethical applications, including but not limited to:

We reserve the unilateral right to refuse any order where we have reasonable grounds to believe that the products may be:

• Used to facilitate terrorism, insurgency, or acts of unlawful violence
• Supplied to unauthorized armed groups, militias, or paramilitary organizations not sanctioned by a legitimate government
• Diverted to sanctioned entities, designated terrorists, or proliferators of weapons of mass destruction
• Employed in human rights abuses, internal repression, or violations of international humanitarian law
• Re-exported or transshipped in violation of applicable export control regulations

PANOAR may require buyers to complete an End-User Certificate (EUC) or End-Use Statement for certain orders, particularly those involving large quantities or sensitive destinations.

3.1 Zero Tolerance for Corruption

Our commitment to ethical business conduct is guided by the principles embodied in:

• The U.S. Foreign Corrupt Practices Act (FCPA)
• The UK Bribery Act 2010
• The Anti-Unfair Competition Law of the People’s Republic of China

3.2 Our Ethical Commitments

PANOAR and its employees, agents, and representatives shall:

• Never offer, promise, give, or authorize bribes, kickbacks, or improper payments to any government official, public servant, or private party to secure business advantage
• Never accept bribes, kickbacks, or improper inducements from suppliers, customers, or any third party
• Ensure that all commissions, fees, and payments to agents or intermediaries are legitimate, documented, and commensurate with services rendered
• Maintain accurate and transparent books, records, and accounts that fairly reflect all business transactions
• Conduct business on the basis of merit, quality, and fair competition, not through improper influence

PANOAR is committed to conducting all B2B transactions with complete transparency:

• All pricing, terms, and conditions are clearly stated in Proforma Invoices and contracts
• No hidden fees, undisclosed commissions, or off-book payments
• Fair and consistent treatment of all business partners regardless of geography or relationship
• Open communication and good-faith negotiation in all commercial dealings

PANOAR sources and utilizes high-quality, industry-standard materials in the manufacture of our tactical equipment. Our primary materials include:

• Technical Fabrics: Premium nylon textiles including 500D and 1000D Cordura, Hypalon, and laminated materials from reputable suppliers
• Webbing & Tapes: MIL-SPEC compliant nylon webbing and binding tapes
• Hardware: High-strength buckles, clips, and fasteners from recognized manufacturers (e.g., ITW Nexus, Duraflex, YKK)
• Thread & Sewing Materials: Industrial-grade bonded nylon and polyester thread engineered for durability

PANOAR is committed to ensuring that our products and manufacturing processes comply with applicable material safety regulations:

• REACH Regulation (EC 1907/2006): Our materials are selected to comply with the European Union’s REACH requirements, ensuring the absence of Substances of Very High Concern (SVHC) above permissible thresholds

• CPSIA / California Proposition 65: We are aware of and endeavor to meet requirements regarding lead content, phthalates, and other regulated substances for products entering the U.S. market
