1.2 Buyer’s Compliance Obligations

CRITICAL: The Buyer (Importer/Purchaser) bears full and exclusive responsibility for ensuring that the importation, possession, distribution, and use of products purchased from PANOAR complies with all applicable laws and regulations of the Buyer’s country or jurisdiction.

The Buyer hereby represents, warrants, and covenants that:

  • The Buyer shall comply with all import regulations, licensing requirements, and customs procedures applicable in the destination country
  • The Buyer shall not resell, transfer, re-export, or divert any products to sanctioned countries, territories, entities, or individuals as designated by:
    • The United Nations Security Council
    • The U.S. Office of Foreign Assets Control (OFAC)
    • The European Union
    • Any other relevant sanctioning authority
  • The Buyer shall not engage in any transaction that would cause PANOAR to violate Chinese export control laws or international sanctions regimes
  • The Buyer shall provide accurate end-user information and, where required, obtain and furnish valid end-user certificates, import licenses, or other regulatory approvals

1.3 Restricted Destinations

PANOAR reserves the right to decline orders destined for countries, regions, or entities subject to comprehensive trade embargoes or where the shipment of tactical equipment would contravene applicable export control regulations. PANOAR may request additional documentation or assurances before proceeding with transactions to sensitive destinations.

2. End-Use & End-User Commitment

2.1 Intended Lawful Applications

PANOAR designs and manufactures tactical equipment intended exclusively for legitimate, lawful, and ethical applications, including but not limited to:

Military & Defense

Supplying armed forces and defense contractors of sovereign nations for national security and defense operations.

Law Enforcement

Equipping police forces, border protection agencies, and other governmental law enforcement bodies.

2.2 Prohibited End-Users & End-Uses

PANOAR expressly prohibits the sale, transfer, or distribution of its products to any party engaged in, or suspected of involvement in, unlawful activities.

We reserve the unilateral right to refuse any order where we have reasonable grounds to believe that the products may be:

  • Used to facilitate terrorism, insurgency, or acts of unlawful violence
  • Supplied to unauthorized armed groups, militias, or paramilitary organizations not sanctioned by a legitimate government
  • Diverted to sanctioned entities, designated terrorists, or proliferators of weapons of mass destruction
  • Employed in human rights abuses, internal repression, or violations of international humanitarian law
  • Re-exported or transshipped in violation of applicable export control regulations

PANOAR may require buyers to complete an End-User Certificate (EUC) or End-Use Statement for certain orders, particularly those involving large quantities or sensitive destinations.
